Terms of Service

1. Scope and Acceptance

These Terms of Service (“Terms”) govern the access to and use of the CheckVIES - VAT number validation service, including any associated websites, applications, and APIs (collectively, the “Service”).

The Service is provided exclusively to legal entities and individuals acting in the course of their business or professional activities (“Customer”). By accessing or using the Service, the Customer agrees to be bound by these Terms. If the Customer does not agree to these Terms, the Service must not be used.

The Service provider DEIMDAL DOO (Montenegro) reserves the right to amend these Terms at any time. Updated Terms become effective upon publication or as otherwise communicated. Continued use of the Service constitutes acceptance of the amended Terms.

2. Description of the Service

The Service provides functionality for the validation of VAT identification numbers and, where applicable, related business information.

VAT number validation is performed exclusively through the official VAT Information Exchange System (VIES), operated by the European Commission. The Service does not maintain or operate any independent VAT validation database. All actual validation requests are transmitted to and processed by VIES, subject to the availability, limitations, and responses of that system.

The Service acts solely as an intermediary layer, providing a user interface and programmatic API that facilitate access to VIES. In addition, the Service may offer extended functionality designed to improve usability and integration capabilities, including but not limited to request aggregation, formatting, caching of non-sensitive metadata where applicable, usage tracking, and tooling for automated or high-volume access within defined limits.

The scope, features, and performance characteristics of the Service may vary depending on the applicable subscription plan, including free and paid tiers. The Service provider does not guarantee that VIES will be continuously available, nor that responses received from VIES will be complete, accurate, or timely, as such factors are outside of the Service provider’s control.

3. Eligibility and Account Responsibility

Access to the Service is limited to Customers with legal capacity to enter into binding agreements in the course of business.

The Customer shall:

  • Provide accurate, current, and complete information during registration and throughout the use of the Service
  • Maintain the confidentiality and security of access credentials
  • Ensure that access to the Service is restricted to authorized personnel only

The Customer is fully responsible for all activities conducted under its account, including actions performed by its employees, contractors, or other authorized users.

4. Permitted Use and Restrictions

The Customer shall use the Service solely for legitimate business purposes and in compliance with all applicable laws and regulations.

The Customer shall not, directly or indirectly:

  • Use the Service for unlawful, fraudulent, or misleading purposes
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying infrastructure
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service
  • Circumvent or attempt to circumvent any technical limitations, rate limits, or access controls
  • Use automated means to access the Service in a manner that exceeds reasonable and permitted usage
  • Resell, sublicense, distribute, or otherwise make the Service available to third parties without prior written authorization
  • Use the Service in a manner that could impair its performance, availability, or security

5. Fair Usage

The Service is subject to a fair usage policy designed to ensure stability, integrity, and equitable access for all Customers.

Fair usage includes, but is not limited to:

  • Compliance with defined request volumes and rate limits
  • Use patterns consistent with reasonable and proportionate business needs
  • Avoidance of excessive, abusive, or anomalous request behavior

The Service provider reserves the right, at its sole discretion, to implement protective measures, including but not limited to:

  • Rate limiting or throttling of requests
  • Temporary suspension of access
  • Restriction or termination of accounts engaged in abusive or excessive usage

Free-tier access may be subject to more restrictive fair usage thresholds.

6. Service Availability and Modifications

The Service provider shall use commercially reasonable efforts to maintain availability of the Service but does not guarantee uninterrupted or error-free operation.

The Service provider reserves the right to:

  • Modify, enhance, or discontinue any part of the Service
  • Introduce or adjust technical limitations, features, or integrations
  • Perform maintenance or updates that may temporarily affect availability

Where reasonably practicable, prior notice of material changes will be provided.

7. Data Processing and Use

The Customer acknowledges that the processing of data in connection with the use of the Service is subject to the applicable Privacy Policy.

The Customer shall ensure that any data submitted to the Service is processed in compliance with applicable data protection laws.

The Service provider may process data:

  • To provide, operate, and maintain the Service
  • To ensure security, prevent abuse, and enforce these Terms
  • To generate aggregated and anonymized statistics

8. Intellectual Property Rights

All intellectual property rights in and to the Service, including but not limited to software, databases, APIs, and documentation, remain the exclusive property of the Service provider or its licensors.

Subject to these Terms, the Customer is granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Service for its internal business purposes.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

The Service provider shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, business, or data
  • Inaccuracies or unavailability of VAT validation results

10. Termination

The Service provider may suspend or terminate access to the Service with immediate effect if the Customer breaches these Terms or uses the Service in a manner that may cause harm to the Service or other users.

The Customer may cease use of the Service at any time.

11. Subscriptions, Billing, and Usage

Provisions governing subscription plans, billing cycles, pricing, included features, and applicable usage limits are set forth in the Subscriptions, Billing, and Usage section.

Subscriptions, Billing, and Usage

1. Subscription Access

By purchasing a subscription, you receive access to the Service for a fixed period of time (“Subscription Term”), subject to these Terms.

Subscriptions may be offered on a monthly or yearly basis.

2. Subscription Term and Renewal

Each subscription starts on the date of activation and remains active until the end of the applicable Subscription Term, unless cancelled.

Subscriptions automatically renew at the end of each term unless cancelled before the renewal date.

3. Billing Date

Each paid subscription has a fixed renewal date (“Billing Date”), which is set when the subscription starts.

The Billing Date:

  • determines when your subscription renews
  • determines when usage limits reset
  • remains unchanged during the lifetime of the subscription unless the subscription is cancelled or expires

If your subscription starts on a date that does not occur in a future month (such as the 29th, 30th, or 31st), the Billing Date may be adjusted to the last available day of that month. Once adjusted, it remains consistent.

4. Usage Limits

Subscription plans may include usage limits.

Unless otherwise stated:

  • usage limits reset at the start of each billing cycle
  • unused usage does not carry over to future cycles

For yearly subscriptions, usage limits may still reset monthly.

5. Plan Changes

You may upgrade or downgrade your subscription as described in the Pricing & Billing section.

Changing a plan does not extend your subscription term unless explicitly stated.

6. Cancellation

You may cancel your subscription at any time.

After cancellation:

  • Your subscription remains active until the end of the current term
  • No future renewals will occur

Fees already paid are non-refundable except where required by applicable law.

7. Free Plan

If no paid subscription is active, your account may be placed on a free plan with separate limits and conditions.

8. Fair Use

You may not attempt to bypass usage limits or obtain additional benefits through repeated plan changes or other abusive behavior.

9. Legal Compliance

Nothing in these Terms limits mandatory consumer rights under applicable EU law.

Pricing & Billing

1. Subscription Plans

We offer free and paid subscription plans. Each plan specifies:

  • Price
  • Subscription term (monthly or yearly)
  • Included usage limits and features

Current prices and plan details are displayed on our website.

2. Billing Cycles

  • Monthly plans are billed once per month.
  • Yearly plans are billed once per year.

Your billing cycle is tied to your Billing Date and does not change unless the subscription ends.

3. Usage Limit Resets

  • Monthly limits reset at the beginning of each billing cycle.
  • Yearly subscriptions may still include monthly usage resets.
  • Unused limits do not roll over.

4. Upgrades

You may upgrade your plan at any time.

When you upgrade:

  • The change takes effect immediately
  • Your billing date remains the same
  • Upgraded limits apply for the remainder of the current billing cycle

Any price difference may be charged immediately and may be calculated proportionally based on the remaining time in the billing cycle.

Upgrading does not start a new billing cycle.

5. Downgrades

Downgrades typically take effect at the start of the next billing cycle.

Your current plan and limits remain active until then.

6. Cancellation and Expiration

Cancelling a subscription stops future renewals. Access continues until the end of the paid term.

After expiration, your account may switch to the free plan, if available.
